Terms of Service

These Terms of Service ("Terms") govern your access to and use of https://preview.reimaginewebdesign.com, any tool available on it (including our free site check), and the Client Portal (together, the "Site"), operated by Reimagine Web Design LLC ("Company," "we," "us"). By using the Site, you agree to these Terms.
1. Relationship to Your Service Agreement
These Terms govern use of the Site and Client Portal themselves. If you're a client, the scope, deliverables, fees, intellectual property, and liability terms of your engagement are governed by your signed Master Web Design Services Agreement and the applicable Order Form(s) (together, your "Service Agreement"). If anything in these Terms conflicts with your Service Agreement regarding the services we're providing you, your Service Agreement controls.
2. General Use of the Site
You agree not to:
- use the Site to violate any law;
- attempt to gain unauthorized access to the Site, the Client Portal, or any account other than your own;
- interfere with or disrupt the Site's operation, including through excessive automated requests; or
- use the free site-check tool to scan, probe, or test a website or system you don't own or have authorization to test.
3. Free Site Check
Our free site check performs a limited, automated, point-in-time review of a submitted URL — covering things like speed, mobile readiness, Google Business Profile signals, and basic security configuration. It is not a penetration test, vulnerability assessment, or formal security audit, and a favorable result is not a certification, warranty, or guarantee that the reviewed website is secure. By submitting a URL, you represent that you own the website being reviewed or have the authority of its owner to request the check.
4. Client Portal
4.1 Accounts
If we issue you a Client Portal account, you're responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at help@reimaginewebdesign.com if you suspect unauthorized access.
4.2 Acceptable use
The Portal is provided for you to communicate with us, review project status, and exchange project files in connection with your engagement. You agree not to use the Portal to upload unlawful content, content that infringes a third party's rights, or malicious files.
4.3 Your uploaded content
You retain ownership of any files, brand assets, and content you upload to the Portal ("Client Content"), consistent with the Client Content terms of your Service Agreement. You grant us a license to use, store, and reproduce that content solely to deliver the Services to you.
4.4 Portal availability
We use commercially reasonable efforts to keep the Portal available but do not guarantee uninterrupted or error-free access. We may suspend Portal access for maintenance, security, or non-payment, consistent with your Service Agreement.
4.5 Ending Portal access
We may deactivate a Portal account upon completion, termination, or cancellation of the related engagement, or for a violation of these Terms. Data handling after account closure is described in our Privacy Policy.
5. Third-Party Services
The Site and Portal are built on and integrated with third-party infrastructure, including Hostinger (hosting), Supabase (Portal authentication, database, and file storage), and Google Workspace (business email). Our use of these providers is described in our Privacy Policy. We're not responsible for outages or issues originating from these providers' infrastructure.
6. Intellectual Property
The Site, including its design, text, graphics, logos, and underlying code, is owned by Company or its licensors and is protected by intellectual property laws. You may not copy, reproduce, modify, or create derivative works from the Site except as necessary for ordinary use of the Portal as intended.
7. Disclaimer of Warranties
THE SITE AND PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
8.1 General site visitors. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR VISITORS WHO ARE NOT PARTIES TO A SERVICE AGREEMENT WITH US, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITE, AND COMPANY'S TOTAL LIABILITY TO SUCH A VISITOR WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
8.2 Clients. If you're a client using the Portal in connection with a signed Service Agreement, the limitation of liability in that Service Agreement governs Portal-related claims instead of Section 8.1.
9. Indemnification
You agree to indemnify and hold Company harmless from any claim or liability, including reasonable attorneys' fees, arising from your use of the Site or Portal in violation of these Terms.
10. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Mecklenburg County, North Carolina.
